Terms of Service — Vakti Geçmeden

Parties and Scope

These Terms of Service ("Terms") govern the legal relationship between Vakti Geçmeden ("Company", "we", "us", "our") and the natural person who uses our mobile application or website ("User", "you").

These Terms apply to the Android application, the vaktigecmeden.com website and all services offered through these platforms.

Please read carefully. By downloading the app, creating an account or continuing to use our services, you declare that you have read, understood and accepted these Terms.

Definitions

Service: The Vakti Geçmeden mobile application, website and all related digital platforms.
User: A natural person who has reached the age of 18 and who accesses or uses the Service.
Business: A café, restaurant, bakery, grocery store or similar food vendor that lists surprise bags through the Service.
Surprise Bag: A bag of food items unsold at the end of the day, offered at a discounted price, the full contents of which are not disclosed in advance.
Reservation: The non-binding pre-order request that the User submits to the Business for a specific Surprise Bag.
QR Code: The unique 6-digit code used for identity verification at pickup.
Content: Reviews, ratings, photos and similar materials uploaded to the platform by the User.

Membership and Account

Account Creation: To use the Service you must create an account with a valid email address. It is your responsibility to ensure that the information you provide during registration is accurate, complete and up to date.

Age Limit: You must be at least 18 years old to use our Service. Accounts belonging to persons under the age of 18 will be closed immediately upon detection.

Account Security: You are responsible for the confidentiality of your account password and for all activity carried out through your account. If you suspect unauthorized access, notify us immediately at destek@vaktigecmeden.com.

Single Account: Each user may open only one account. If multiple accounts are detected, all accounts may be suspended.

Scope of the Service

Vakti Geçmeden is a digital platform that acts as an intermediary between Users and Businesses that want to prevent food waste. The Company:

Does not sell food; it is not a party to the direct purchase and sale
Is not responsible for the accuracy of listings; this responsibility lies with the Business
Does not undertake to ensure a particular quality standard across Businesses
Does not guarantee uninterrupted and error-free access to the Service

The Service is offered within the mission of reducing food waste in Türkiye. The platform facilitates only lawful food sales activities.

Reservation and Payment

Reservation Process: The User creates a reservation for the Surprise Bag they select through the app. The reservation is delivered to the Business as a notification, and confirmation takes place after a waiting period at the Business.

Payment:

All payments are made directly to the Business at pickup (cash or card)
Vakti Geçmeden does not act as an intermediary in the payment transaction; it is not a payment processor
The prices shown include VAT; prices are set by the Business

Pickup: Once the reservation is confirmed, you simply present the QR code generated within the app to the Business during the pickup window. The QR code can be used only once.

The pickup window is generally valid until the listing's closing time. If a late user is unable to collect the bag, no refund request may be made.

Cancellation and Refund Policy

Cancellation by the User: You may cancel your reservation within the app before the pickup window begins. As no charge is taken at this stage, no refund is involved.

Cancellation by the Business: If the Business runs out of stock, closes, or is unable to prepare the bag for technical reasons, you will receive a notification. In this case, Vakti Geçmeden bears no responsibility.

Refunds: The Service operates on a model in which payment is made directly to the Business. Complaints regarding product quality must be resolved directly with the Business. In disputes, our support team may act as a mediator.

Business Relationships

The businesses listed on Vakti Geçmeden are independent third parties. The Company:

Does not employ Business staff; they are not employees or representatives of the Company
Is not an auditor of the Business with respect to food safety, hygiene and regulatory compliance
Cannot be held responsible for damages arising from a Business's food safety violations

We recommend that you report complaints regarding food quality both to the Business and to the in-app review system.

User Obligations

When using the Service, you agree to the following obligations:

Keeping your registration information accurate and up to date
Intending to pick up the bag when you create a reservation
Using the QR code only to collect a bag that belongs to you
Ensuring that content uploaded to the platform (reviews, ratings) is genuine and honest
Refraining from conduct that would harm other users, businesses or the Company
Complying with all applicable Turkish law and rules of international law

Prohibited Uses

The following actions are strictly prohibited and result in the immediate closure of the account:

Using the app to reverse engineer it, decompile its source code or create derivative works
Creating reservations or testing the system using bots, scripts or automated tools
Opening multiple accounts or attempting to access someone else's account
Leaving fake reviews or ratings; uploading content intended to harm competing businesses
Transferring, copying or counterfeiting the QR code
Carrying out unauthorized access, penetration testing or DDoS attacks against the system
Using the platform to facilitate trade in illegal goods or services
Sharing content containing insults, hate speech or harassment
Collecting other users' personal data or sharing such data with third parties

Intellectual Property

The Vakti Geçmeden brand, logo, application, website design, source code, database structure and content belong to the Company and are protected under the Turkish Commercial Code, the Law on Intellectual and Artistic Works and the Trademark Law.

Reviews and photos that Users upload to the platform remain the property of the User. However, the User grants the Company a non-exclusive, royalty-free license with no time limit for these materials to be displayed within the platform.

Disclaimer and Limitation of Liability

The Service is provided "as is". The Company does not guarantee that the Service will be uninterrupted, error-free or fit for a particular purpose.

The Company is not responsible for the following:

The quality, safety or freshness of the products offered by the Business
The Business not accepting the reservation or being unable to prepare the bag
The User missing the pickup window
Outages originating from third-party service providers (Google Firebase, Google Maps)
Misuse of the User's account by others
Indirect, special or punitive damages, except where mandated by Turkish law

The Company's total liability under these Terms is limited to the total amount paid by the user in the last 12 months prior to the event giving rise to the damage.

Indemnification

You agree to indemnify the Company against any claim, lawsuit or damages, including reasonable attorneys' fees, brought against the Company as a result of your breach of these Terms, your provision of inaccurate information or your violation of third-party rights.

Account Suspension and Termination

Termination by the User: You may delete your account at any time from within the app or by writing to destek@vaktigecmeden.com. All your data will be destroyed within 30 days of the deletion request.

Termination by the Company: In the event of a breach of these Terms, suspicion of fraud, legal obligation, or where continuing the service is not economically feasible, the Company reserves the right to suspend or delete the account without prior notice.

Following termination, the provisions of these Terms relating to liability, intellectual property and dispute resolution will remain in effect.

Changes to the Terms

The Company reserves the right to amend these Terms at any time. Significant changes will be announced to users at least 15 days in advance via in-app notification and/or registered email.

Continuing to use the Service after the changes take effect means that you accept the updated Terms. If you do not accept them, you reserve the right to delete your account.

Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with Turkish Law.

The Istanbul (Çağlayan) Courts and Enforcement Offices have exclusive jurisdiction over disputes arising from these Terms.

It is preferred that disputes be resolved through negotiation before being brought to court. For any complaint, we recommend that you first contact destek@vaktigecmeden.com. If the matter cannot be resolved within 30 days, the parties may pursue legal remedies.
